Audit and compliance for NGOs, from annual accounts to donor audit

Statutory audit, agreed-upon procedures, audit-ready books and tax compliance for NGOs and donor-funded organisations preparing for annual returns and donor audit, from our offices in Nairobi and Mombasa.

NGOs and donor-funded organisations are one of the sectors Adamjee Auditors works in, alongside SMEs, large corporates and SACCOs, from offices in Nairobi's Westlands and in Mombasa.

An NGO in Kenya reports in several directions at once. The NGO Coordination Board expects annual returns that include audited financial statements. KRA expects tax returns and payroll remittances even where grant income is exempt. Each donor sets its own reporting and audit conditions, and these are often stricter than the statutory ones. Falling short on any of them can bring penalties, delayed funding or, at worst, suspension of operations.

We bring the firm's audit, accounting, payroll, tax and advisory services to that work: statutory and external audits under a risk-based methodology aligned to ISA and IFRS, agreed-upon procedures where a funder wants specific figures verified, bookkeeping and reconciliations that keep your records ready for audit, and a review of the internal controls that both donor and statutory auditors will test. If your organisation is still being set up, our guide on registering a self-help group or NGO in Kenya covers the step before all of this.

Sector challenges

Where NGO finance teams come under pressure

01

Several reporting masters

Organisations funded by more than one donor have to reconcile statutory reporting with each donor's own audit standards. Donor reports that do not agree with the statutory accounts are a recurring compliance problem.

02

Expenses without eTIMS invoices

KRA now expects allowable expenses to be backed by valid eTIMS invoices. Any expense without one may be disallowed, which affects both tax relief claims and the figures reported to donors.

03

Controls over donor funds

Weak controls can lead to misappropriation. Auditors look for separation of duties between authorising funds, handling cash and bookkeeping, documented approval of grant spending and regular reconciliation of bank statements against project accounts.

04

Tax-exempt, but still filing

Exemption on grants does not remove KRA obligations. NGOs with staff or business income must still file returns, income from activities outside the charitable purpose is taxable, and a Tax Compliance Certificate is commonly required for donor funding applications.

Common questions

NGO audit and compliance questions, answered

Annual audits are mandatory for most registered NGOs. The annual returns filed with the NGO Coordination Board include audited financial statements, and donors may set additional audit and reporting requirements of their own.
A statutory audit supports the annual return to the NGO Coordination Board. The audit a donor asks for follows the funder’s own conditions, which are often stricter: grant-specific accounts that track funds from disbursement to expenditure, supporting invoices, receipts and contracts, and compliance with donor policies such as anti-fraud and anti-money laundering.
Yes. NGOs with payroll obligations or business income must file returns with KRA even where their grants are exempt, and income from activities unrelated to the charitable purpose is taxable. Expenses also need valid eTIMS invoices, because those without one may be disallowed.
Financial statements, bank statements, receipts, donor reports and payroll records, together with reconciliations of grant funds, donor disbursements and expenditure, an up-to-date register of assets and liabilities, and minutes of board meetings and approvals.
Yes. In an agreed-upon procedures engagement the auditor carries out only the procedures agreed in advance, such as validating donor funds or verifying project costs, and reports factual findings rather than an audit opinion. It complements a statutory audit but does not replace one.
A Tax Compliance Certificate is commonly required for NGO and donor funding applications. KRA issues one only to taxpayers that are fully compliant across all their registered tax obligations, with no outstanding returns, penalties or unpaid taxes.
